EDXcellence Terms of Use

This legally binding agreement (“Terms of Use”) governs your access to and use of the EDXcellence website (www.EDXcellence.org.in), including all associated services, platforms, content, and programs (collectively, the “Site” or “Services”) provided by EDXcellence Technology Private Limited (“EDXcellence,” “we,” “us,” or “our”). By accessing or using the Site, you (“User” or “you”) unconditionally agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated herein by reference. If you do not agree1 with these Terms of Use, you are expressly prohibited from using the Site and must immediately discontinue all access and use.

1. Agreement to Terms

These Terms of Use, in conjunction with the Privacy Policy and any supplemental terms or guidelines posted on the Site, constitute the complete and exclusive agreement between you and EDXcellence concerning the Site and Services. We reserve the right, at our sole discretion, to modify or amend these Terms of Use at any time without prior notice. Your continued use of the Site following the posting2 of revised Terms of Use constitutes your unequivocal acceptance of the revised terms. You are responsible for regularly reviewing these Terms of Use for any changes.

2. Eligibility and Account Registration

You must be at least 18 years of age and possess the legal capacity to enter into a binding contract to use the Site and Services. If you are accessing or using the Site on behalf of a corporation or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms of Use, in which case “User” or “you” shall also refer to such entity.

 

Access to certain features and Services may require you to create an account. You must provide accurate, current, and complete information during the registration process and maintain the accuracy of4 your account information. You are solely responsible for preserving the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized5 access to or use of your account.6 We reserve the right to suspend or terminate your account, with or without cause, at our sole discretion.

3. Programs and Payment

EDXcellence offers various online projects, certification programs, and related educational services (the “Programs”). Detailed information regarding each Program, including curriculum, duration, fees, and payment schedules, will be available on the Site.

 

All fees for Programs are non-refundable after the lapse of the trial period (5 days from the date of payment), except as expressly provided in our Refund Policy (Section 20). You agree to remit all applicable fees for the Programs you enroll in according to the stipulated payment schedule. You must provide accurate and valid payment information.

 

EDXcellence disclaims any liability for unauthorized use of your payment method by a third party. Any fraudulent activity or attempt to defraud EDXcellence will result in immediate account termination and may be subject to legal recourse.

4. Payment Processing

EDXcellence may engage third-party payment processors (“Payment Processors”) to facilitate financial transactions. You authorize us to share your payment information with these Payment Processors for the exclusive purpose of processing your payments. You agree to abide by the terms and conditions of the applicable Payment Processor. EDXcellence is not responsible for any errors or deficiencies in the services provided by the Payment Processor.

5. Intellectual Property Rights

All intellectual property rights subsisting in the Site, including but not limited to trademarks, logos, software, content, and course materials, are the exclusive property of EDXcellence or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for your personal, non-commercial, educational purposes, strictly in accordance with these Terms of Use. You are expressly prohibited from reproducing, modifying, distributing, or displaying any content from the Site without our prior written consent.

6. User Content

You may be permitted to submit or upload content to the Site, including but not limited to assignments, projects, forum posts, and feedback (“User Content”). You retain all intellectual property rights in your User Content. However, by submitting User Content to the7 Site, you grant EDXcellence a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative8 works from, distribute, and display your User Content in any media.

 

You represent and warrant that9 you possess all necessary rights to submit your User Content and that your User Content does not infringe upon the intellectual property rights or other rights of any third party.

7. Prohibited Conduct

You agree not to:

  •  Use the Site for any unlawful or unauthorized purpose.
  •  Violate any applicable laws, regulations, or ordinances.
  •  Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  •  Interfere with or disrupt the operation of the Site or the servers or networks connected to the Site.
  •  Attempt to gain unauthorized access to any portion of the Site or other user’s accounts.
  •  Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
  •  Engage in any conduct that could damage, disable, overburden, or impair the Site or its functionality.

8. Third-Party Links and Content

The Site may contain links to third-party websites or resources. EDXcellence is not responsible for the content, accuracy, or availability of these third-party sites. Your use of third-party sites is exclusively at your own risk.

9. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available” without any warranties of any kind, either express or13 implied. EDXcellence disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by applicable law, EDXcellence will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to these Terms of Use or the Site or Services will not exceed the amount you have paid to us, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EDXcellence and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or related to your use of the Site or Services, your User Content, or your breach of these Terms of Use.

12. Governing Law and Dispute Resolution

These Terms of Use will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms of Use or the Site or Services will be subject to the exclusive jurisdiction of the courts of Bengaluru, India.

13. International Use

EDXcellence makes no representation that the Site or Services are appropriate or available for use in all locations. If you access the Site from outside India, you are responsible for complying with all applicable local laws.

14. Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire and integrated agreement between you and EDXcellence concerning the Site and Services and supersede all prior agreements and understandings, whether written or oral.

15. Severability

If any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Waiver

No waiver of any provision of these Terms of Use will be effective unless in writing and signed by a duly authorized representative of EDXcellence.

17. Assignment

EDXcellence may assign these Terms of Use, in whole or in part, without your consent. You may not assign these Terms of Use without our prior written consent.

18. Force Majeure

EDXcellence will not be liable for any delay or failure in performance of its obligations under these Terms of Use to the extent such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, or materials.

  • Internship Programs: All self-paced and online internship programs are non-refundable and non-transferable, except in the event of program cancellation by EDXcellence. Fees cover mentorship and platform access.
  •  Certification Programs:
  • Self-Paced: Refunds are available if requested in writing at least one (1) week prior to the program’s commencement date and provided the Learning Management System (LMS) has not been accessed. A non-refundable registration fee (20% of the course fee or Rs.1000/- (whichever is higher)).
